Welcome to IPQ.market ("IPQ," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

IPQ.market is an AI-powered procurement marketplace that assists buyers in creating and managing procurement requests — including but not limited to:

Requests for Quotations (RFQs)
Tenders
Purchase Requests
Requests for Proposals (RFPs)
Platform Role: The platform sources potential sellers, facilitates anonymized communications, and enables disclosure of identities when a disclosure fee is paid. IPQ acts solely as a neutral technology platform and is not a party to any transaction between buyers and sellers.

To access most features of the Services, you must register for an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Safeguard your password and take responsibility for all activities under your account
  • Use the Services in compliance with all applicable laws
Prohibited Activities: You agree not to misuse the Services, including attempting to circumvent anonymization, fees, scrape, copy, or reverse-engineer the platform. We reserve the right to suspend or terminate accounts that violate these Terms.

By signing up for an account, you consent to the collection and use of your personal and business information as described in our Privacy Policy, subject to applicable data protection laws.

Communication Consent

You agree that IPQ may contact you via email, phone, WhatsApp, or other electronic means for service-related announcements, marketing communications, and other communications. You may opt-out of marketing communications at any time by following the unsubscribe instructions in such communications.

Before Disclosure

IPQ provides a platform for anonymized communication between buyers and sellers. You agree not to attempt to circumvent this feature to exchange contact information before a disclosure fee is paid.

After Disclosure

The identity of the other party will be revealed once one party pays the applicable fee, at which point direct communication and negotiation may occur.

IPQ is not responsible for the outcome of any such communications or agreements.

Our Property

The Services and their original content, features, and functionality are and will remain the exclusive property of IPQ and its licensors. Our trademarks and trade dress may not be used without prior written consent.

Your Content

Content you generate (such as procurement requests, quotations, tenders, bids, or related materials) remains your intellectual property, but you grant IPQ a worldwide, non-exclusive, royalty-free, sublicensable license to use it for operating, improving, and promoting the Services.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. IPQ MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED CONTENT, SOURCED SELLERS, OR PROCUREMENT OUTCOMES.

AI-GENERATED RESULTS ARE FOR INFORMATIONAL PURPOSES ONLY. IPQ IS A NEUTRAL PLATFORM AND IS NOT A PARTY TO ANY AGREEMENT BETWEEN BUYERS AND SELLERS. WE ARE NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER OF THE SERVICES.

Limitation of Liability

IN NO EVENT SHALL IPQ, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use or alteration of your transmissions or content

You agree to defend, indemnify, and hold harmless IPQ and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  1. Your use and access of the Service, by you or any person using your account and password
  2. A breach of these Terms

Governing Law

These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware. You agree to submit to the personal jurisdiction of such courts.

Arbitration

At IPQ's discretion, disputes may also be resolved by binding arbitration under the rules of the American Arbitration Association.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

Material Changes: If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Acceptance: Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
